Client IP & confidentiality

Your idea stays yours

Techon Pixel builds software for clients and separately develops a small portfolio of its own products. That is only fair to a client if the boundary between the two is explicit, contractual and operational — not a promise on a page. This is the boundary.

Our commitment

Five things we hold ourselves to

  1. 01

    You own your business concept

Clients retain ownership of their business concepts, confidential information, customer data and any intellectual property they held before the engagement. Nothing you bring becomes ours by virtue of us working on it.

  2. 02

You own what we build for you

Custom deliverables created specifically for a client are assigned or licensed to that client under the applicable statement of work and services agreement. We do not claim ownership of your business logic because we wrote the code that expresses it.

  3. 03

    Your information is never reused

We do not use confidential client information, proprietary workflows, source code, datasets or unreleased product plans to develop Techon Pixel products, or to serve another client.

  4. 04

We disclose conflicts before you disclose anything

Where a proposed engagement materially overlaps an existing client engagement or a Techon Pixel product, we raise it before receiving your confidential specifications — so you decide how to proceed with the overlap already on the table.

  5. 05

Access is limited to the people doing the work

Repositories, documentation and credentials are restricted to the team members assigned to that engagement. Client work and product work run on separate repositories, cloud projects, databases and credentials.

Paperwork

The documents that carry these obligations

A commitment that only exists on a website is not a commitment. Each of the points above is mirrored in the agreements we sign.

  • Mutual NDA

Signed before you share anything sensitive. Covers business plans, requirements, algorithms, customer information, pricing, designs, source code, credentials, unreleased features, research and strategy.

  • Master Services Agreement

Sets confidentiality, ownership, liability, payment, data handling, dispute resolution and the obligations that bind any subcontractor.

  • Statement of Work

Defines exactly what is being built, the deliverables, timeline, cost, acceptance criteria and the ownership position for that specific project.

  • IP assignment schedule

Separates the three categories explicitly: your pre-existing IP, the project IP you commissioned and paid for, and our pre-existing background components such as deployment tooling and design-system primitives.

If your project overlaps a product of ours

What happens next

We will not quietly take on work that competes with something we own. Once the overlap is on the table, you choose the arrangement.

  • Build custom integrations around the existing product
  • License or white-label the existing product to you
  • Build a clearly differentiated system for you
  • Assign a separate team with information barriers between the two
  • Decline the engagement, if the conflict is too direct to manage

Questions about any of this before you share a brief? Write to info@techonpixel.com and you will get an answer from our team. Our own products are listed on the products page, so you can see the overlap surface for yourself.

Send the brief. The NDA comes first.

Nothing sensitive needs to be shared before an NDA is in place. Book a 30-minute call and we will start there.
